Terms of
Service

Version 2026-09-08 · Last updated: 8 September 2026

These terms cover ShowWright. The solar addendum at the end applies on top of them if your organisation uses the solar tools. Our privacy policy covers what we collect and why.

1. Who you are agreeing with

ShowWright is provided by Proofwright AI LLC (“ProofWright,” “we”), a Florida limited liability company at 1901 Brickell Avenue, Unit 1013, Miami, FL 33129. By creating an account or using ShowWright, the company you represent (“you”) agrees to these terms. If you are agreeing on behalf of a company, you confirm you are authorised to do so.

2. What ShowWright is

Software for building and presenting interactive sales presentations, used by your staff on their own devices, including offline. We provide the tool. We do not sell, install, finance or warrant any product you present with it, and we are not a party to any agreement between you and your customer.

3. Accounts and who may use them

  • Accounts belong to your organisation, not to individual users.
  • Your administrators add and remove users. Each person must have their own login; shared logins are not permitted.
  • You are responsible for what your users do in the product, and for keeping credentials secure.
  • Tell us promptly at hello@proofwright.ai if you believe an account has been compromised.

4. Subscription, trial and payment

  • ShowWright is $9 per user per month. A card is required to start, and the first 14 days are free.
  • Optional tools are charged separately per organisation, per month: AI bundle $60, Color Visualizer $20, Property Photos $9, AI Designer $49, Solar Site Check $299. The AI bundle includes the Color Visualizer, Property Photos and the AI Designer; Solar Site Check is separate. Additional storage is $10 per 50 GB.
  • Card payments are processed by Stripe. We never receive or store your card number.
  • Subscriptions renew automatically each month until cancelled.
  • Cancel any time, in the product or by emailing us. Cancellation takes effect at the end of the month you have paid for, and you keep access until then.
  • Refunds: we do not refund a month once it has begun. Because you can cancel at any time and keep the rest of the month, nobody pays for time they did not have.
  • We may change prices on 30 days’ notice. A change never applies to a period already paid for.
  • An unpaid account is suspended after 14 days. Suspension is reversible and nothing is deleted — pay and it comes back whole.

5. Your content stays yours

Decks, photos, customer records and everything else you put into ShowWright remain your property. You grant us only the permission needed to host, process and display it so the product works — including sending photos and deck text to the AI providers named in our privacy policy when you use those features.

We do not use your content to train AI models, and we do not sell it.

6. Our software stays ours

ShowWright, its templates and its underlying software remain ours. You may not copy, resell, reverse engineer or white-label the product, or use it to build a competing tool.

7. Acceptable use

You agree not to use ShowWright to:

  • make claims to a customer that you cannot substantiate;
  • upload content you have no right to use, or that is unlawful;
  • store payment card numbers, Social Security numbers, or health information;
  • attempt to access another organisation’s data;
  • resell access, or share logins outside your organisation.

If we learn you are doing any of this, we may suspend or end your account — immediately where a customer of yours is being misled. We will tell you why.

We do not monitor your presentations and we have no obligation to. ShowWright is a tool you operate; what your reps show and say is yours, as section 8 says. This paragraph is a right we may use, not a duty we have undertaken.

8. What you present is yours to stand behind

This is the clause that matters most in this product. ShowWright is a tool for building and showing presentations. It displays figures you supply or configure — pricing, measurements, savings calculations, product claims — and it displays them because you chose to put them in front of your customer.

You are responsible for their accuracy, for their compliance with the law where you sell, and for every representation your staff makes to a customer using them. We are not responsible for what you present, and we are not responsible for a statement that is untrue. We provide the instrument; the claim is yours.

ShowWright is built so that this stays true in practice, not only on paper: it will not invent an assumption on your behalf, it prints the assumptions behind every calculated figure on the same screen your customer reads, and it records what was shown. Defeating those protections — stripping the assumptions, overriding the disclosures, presenting output you know to be wrong — is a breach of these terms.

9. Storage

Each organisation includes 10 GB. Beyond that, uploads are refused until space is freed or additional storage is added. We will tell you before refusing anything.

10. Availability

We work to keep ShowWright available. Decks cache to the device precisely so a rep can present without a connection. Planned maintenance will be notified where practical.

We do not offer a contractual uptime guarantee at this time. We would rather promise nothing than promise a number we have not yet measured over a meaningful period.

11. Third parties we rely on

Hosting and database (Vercel), payments (Stripe), and AI processing (Google, OpenRouter, Anthropic) as described in the privacy policy. We remain responsible to you for the service; their own terms govern their own platforms.

12. Ending the agreement

  • You may cancel at any time, per section 4.
  • We may suspend or end an account for non-payment, for a breach of section 7, or if required by law — with notice where we reasonably can.
  • After termination your data remains available for 30 days so you can retrieve it. Deletion then follows our privacy policy, with the exception in section 5 of the solar addendum below.

13. Disclaimers and liability

ShowWright is provided as-is beyond the warranties the law requires. Neither of us is liable to the other for indirect, incidental or consequential loss, or for lost profits.

Our total liability for any claim is limited to the greater of (a) the fees you paid us in the twelve months before the claim, or (b) $10,000.

That limit does not apply to: a party’s indemnity obligations under section 14; breach of confidentiality; a party’s own fraud or wilful misconduct; or any liability that cannot lawfully be limited.

14. Indemnity

You cover us against third-party claims arising from the content you put into ShowWright, the assumptions you configure, and the representations you or your staff make to your customers using it.

We cover you against third-party claims that ShowWright itself infringes a patent, copyright or trademark. If that happens we may, at our option, obtain the right for you to keep using it, modify it so it no longer infringes, or terminate and refund fees you have paid for the unused period.

In each case, cover means defending the claim and paying its cost — legal fees, settlements and any award — not merely reimbursing a judgment at the end.

Either of us claiming under this section must notify the other promptly, allow them to control the defence, and cooperate reasonably. Neither party’s indemnity obligations are subject to the limit in section 13.

15. Changes

We may update these terms. Material changes will be notified by email or in the product at least 30 days before they take effect. Continuing to use ShowWright after that means you accept them.

16. Governing law and disputes

These terms are governed by the laws of the State of Florida.

If something goes wrong, we talk first. Before either of us starts a formal proceeding, the side raising the dispute will describe it in writing to the other, and both will attempt in good faith to resolve it through mediation before a mediator certified by the Florida Supreme Court, conducted in accordance with Chapter 44, Florida Statutes. Mediation will take place in Miami-Dade County, Florida, or remotely if we both agree. The mediator’s fees will be shared equally, and each of us pays our own costs.

If the dispute is not resolved within sixty days of that written notice, either of us may proceed. Nothing here stops either side from seeking an injunction where waiting would cause harm that money cannot fix.

Any limitation period that applies to the dispute is paused from the date of that written notice until fifteen days after mediation ends or either of us withdraws from it.

Solar Addendum

This addendum governs the solar tools. Its sections are numbered separately from the terms above.

1. What this covers

This addendum applies when your organisation uses ShowWright’s solar tools. It sits on top of the terms above; where the two disagree, this one wins for solar.

2. The numbers are yours

ShowWright deliberately holds no view on what electricity costs, how fast it will rise, what your utility pays for exported power, or which incentives apply. You configure all of it. You confirm that the values you enter — the annual increase, the export treatment, the self-consumption share, your price per watt and any incentives — are accurate for the market you sell in, and that you will keep them current as tariffs and programmes change.

The tool will refuse to produce a projection rather than supply a missing assumption on your behalf. That refusal is a feature and you agree not to treat it as a defect.

3. Estimates and opinions, not quotes

Output is an estimate — an opinion produced by applying your assumptions to the customer’s own bill and to aerial roof imagery. It is not a quote, not a guarantee of production or savings, and not a professional engineering assessment. Roof imagery may be years old and may predate changes to the property.

ShowWright states the assumptions behind every figure on the same screen the homeowner reads, and shows what they would still pay after solar. You agree not to remove, obscure or contradict those statements.

4. Claims to the homeowner are your claims

You are the seller. Every figure shown to a homeowner through ShowWright is presented by you, in your name, on your behalf. You are responsible for substantiating it, for the disclosures your state requires, and for complying with consumer-protection law where you operate. You will not represent ShowWright as the source, author or guarantor of a savings figure.

5. What we keep, and why it helps you

Every projection shown is recorded with its inputs and the exact assumptions in force at that moment. If a customer later disputes what they were shown, that record is available to you. It is kept for seven years.

This is a deliberate exception to the deletion described in section 12 above and in our privacy policy, and it exists to protect you: it is the evidence of what a homeowner was actually shown.

6. Third-party data

Roof geometry and production estimates come from Google’s Solar API. We pass them through without independent verification, and neither we nor Google warrant their accuracy for any particular property.

7. Indemnity for solar claims

Third-party claims. You will cover us against claims brought by a homeowner, a lender, or anyone else arising from savings or production figures presented through ShowWright, except to the extent the claim alleges that ShowWright computed incorrectly from the inputs it was given.

Regulatory proceedings. To the fullest extent permitted by law, the same applies to investigations, penalties and proceedings brought by a regulator arising from those figures. If any part of this paragraph is unenforceable, it is severed and the rest of this section continues to apply in full.

8. Acknowledgement

You acknowledge that solar savings claims are actively enforced by the FTC and state attorneys general, and that you are responsible for your own compliance programme.
